1. Definitions 
In these general terms and conditions, the following definitions apply:
- Client: The natural or legal person using the services of Fiducia Development.
- Contractor: Fiducia Development.
- Agreement: Any agreement between the Client and the Contractor regarding the provision of services.

2. Applicability
These general terms and conditions apply to all offers, agreements, and deliveries of services by Fiducia Development, unless explicitly agreed otherwise in writing.

3. Offers and Acceptance  
3.1. All offers made by Fiducia Development are non-binding and valid for 30 days unless otherwise stated.  
3.2. An agreement is concluded when the Client accepts an offer in writing or when Fiducia Development commences execution of the assignment.

4. Execution of Services  
4.1. Fiducia Development will execute the agreement to the best of its ability and aims to achieve the agreed results.  
4.2. The Client is responsible for providing all necessary data and materials in a timely manner. Fiducia Development is not liable for delays caused by the absence of this information.

5. Delivery and Completion 
5.1. Delivery times provided by Fiducia Development are indicative.  
5.2. If delivery cannot be made within the agreed timeframe, Fiducia Development will notify the Client in a timely manner.

6. Prices and Payment Terms  
6.1. All prices are exclusive of VAT unless stated otherwise.  
6.2. Payment must be made within 14 days of the invoice date unless otherwise agreed in writing.  
6.3. In the event of late payment, the Client is in default by operation of law, and Fiducia Development is entitled to charge statutory interest and collection costs.

7. Intellectual Property Rights
7.1. All intellectual property rights on products and services developed by Fiducia Development remain the property of Fiducia Development, unless otherwise agreed in writing.  
7.2. The Client obtains only a non-exclusive right of use for the agreed purposes.

8. Liability  
8.1. Fiducia Development is only liable for direct damage resulting from intent or gross negligence.  
8.2. Fiducia Development's liability is in all cases limited to the amount charged for the relevant service.

9. Confidentiality  
Both parties are obligated to maintain the confidentiality of all confidential information obtained from each other in the context of the agreement.

10. Duration and Termination  
10.1. The agreement is entered into for the duration specified in the offer or agreement.  
10.2. Both parties may terminate the agreement in writing with a notice period of at least 30 days.  
10.3. In the event of early termination by the Client, Fiducia Development is entitled to charge for costs already incurred.

11. Force Majeure 
11.1. Fiducia Development is not liable for delays or shortcomings due to force majeure, including but not limited to technical failures, strikes, or other circumstances beyond Fiducia Development's control.

12. Governing Law and Disputes
12.1. All agreements are governed by Dutch law.  
12.2. Disputes arising from or related to the agreement will be submitted to the competent court in the Netherlands.

13. Changes to General Terms and Conditions  
Fiducia Development reserves the right to amend these general terms and conditions. Amendments take effect 30 days after written notification to the Client.
